Plain-language summary. Fyneri is software. We don't process payments ourselves — Stripe Inc. does that under your direct agreement with Stripe. We charge a platform fee for our software. You can cancel at any time. You're responsible for what you sell. We're responsible for keeping the software running and your data safe.
01Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between you (or the entity you represent) ("Customer", "you") and Fyneri LLC, a Delaware limited liability company with its principal place of business at 47196 Northgate Dr, Canton, MI 48188-3227, United States ("Fyneri", "we", "us").
By (i) clicking "I agree" (or similar), (ii) creating a Fyneri account, or (iii) using any Fyneri service, you accept these Terms and our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Refund & Cancellation Policy, which are incorporated by reference.
If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
02Your account
Eligibility
You must be at least 18 years old and capable of forming a legally binding contract. The Services are not available to anyone previously suspended or removed by Fyneri.
Registration
You agree to provide accurate, complete, and current information at registration and to keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account.
Stripe account
The Services require an active Stripe account. By using Fyneri, you authorize Fyneri to interact with your Stripe account on your behalf under the permissions you grant during onboarding. Your relationship with Stripe is governed by Stripe's own terms (the Stripe Services Agreement), which you accept directly with Stripe.
03Description of Services
Fyneri provides software-as-a-service: a hosted checkout experience, a merchant dashboard, an API, webhooks, analytics, and automation tooling that sits on top of Stripe's payment infrastructure. We may add, remove, or modify features over time. Material changes that adversely affect you will be communicated at least 30 days in advance for paid plans.
Fyneri is not a regulated payment institution. Fyneri does not hold customer funds, does not settle transactions, and is not a money services business. All payment processing, settlement, payouts, and merchant-of-record functions are performed by Stripe, Inc. (or its applicable affiliate) under your Stripe agreement.
04Fees & payment
Pricing for each plan is published on our Pricing page. The Fyneri platform fee is itemized separately from Stripe processing fees and is deducted from each transaction at the time of processing through your connected Stripe account.
Stripe's processing fees are billed by Stripe under your separate agreement with Stripe; Fyneri does not control Stripe's pricing and passes those fees through unchanged.
We may change Fyneri platform fees with at least 30 days written notice (email is sufficient). Continued use after the effective date constitutes acceptance.
Late or unpaid fees may result in suspension of the Services and recovery costs (collection fees, reasonable attorney's fees) to the extent permitted by law.
05Acceptable use
Your use of the Services must comply with our Acceptable Use Policy, all applicable laws (including the U.S. Bank Secrecy Act, OFAC sanctions programs, GDPR, CCPA, and consumer protection laws), and Stripe's restricted businesses list.
You must not (a) use the Services to process payments for prohibited business categories; (b) attempt to reverse-engineer, decompile, or circumvent technical controls; (c) interfere with other customers' use; (d) submit false, misleading, or fraudulent information to Fyneri or Stripe; or (e) use the Services in any way that would expose Fyneri or Stripe to regulatory or reputational risk.
06Intellectual property
Fyneri and its licensors retain all right, title, and interest in and to the Services, including all software, designs, trademarks, and content (excluding your data). We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes during the term.
You retain ownership of the data you submit to the Services ("Customer Data"). You grant Fyneri a worldwide, non-exclusive, royalty-free license to host, transmit, display, and process Customer Data solely to provide and improve the Services and to comply with law.
Feedback you give us is non-confidential, and Fyneri may use it without restriction.
07Termination
By you
You may cancel your subscription at any time from the dashboard or by emailing contact@fyneri.com. Cancellation takes effect at the end of the current billing period. See our Refund & Cancellation Policy for refund details.
By us
We may suspend or terminate your account (a) for material breach of these Terms after a 10-day cure period (or immediately for breach of the Acceptable Use Policy, suspected fraud, or required by law); (b) for non-payment after 30 days; (c) if required by a regulator, court, or Stripe; or (d) for convenience with 60 days written notice (in which case we will refund any prepaid unused fees on a prorated basis).
Effect of termination
Upon termination, your access to the Services ends. We will retain Customer Data for 30 days during which you can export it; after that we will delete it, except where retention is required by law or our Privacy Policy. Termination of Fyneri does not terminate your Stripe account.
08Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FYNERI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED. Fyneri is not responsible for the performance, availability, or actions of Stripe or any other third-party service.
09Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FYNERI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
FYNERI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO FYNERI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). These limitations apply notwithstanding the failure of any limited remedy.
10Indemnification
You will defend, indemnify, and hold harmless Fyneri and its affiliates, officers, employees, and agents from and against any third-party claim arising out of or related to (a) your use of the Services in violation of these Terms or applicable law, (b) your Customer Data, (c) products or services you sell, or (d) your relationship with Stripe.
11Governing law & dispute resolution
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute will be the state or federal courts located in New Castle County, Delaware, and the parties consent to personal jurisdiction there.
Each party waives any right to a jury trial. To the extent permitted by law, you and Fyneri agree that disputes will be resolved on an individual basis and not as part of a class action.
12Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
